Terms of Service

Please read these Terms carefully before using the Blue Replies platform. By using our Service, you agree to be bound by these Terms.
1. Definitions
"Blue Replies," "we," "us," or "our" refers to Blue Replies and its affiliates, officers, employees, agents, partners, and licensors.
"Service" means the Blue Replies iMessage API platform, dashboard, SDKs, webhooks, and all related software, tools, documentation, and services.
"Customer," "you," or "your" refers to any individual or entity that registers for, accesses, or uses the Service.
"Content" means any data, messages, text, files, or other material submitted to or transmitted through the Service.
"Effective Date" is March 18, 2026.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service you represent and warrant that you meet this requirement.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and that the organization agrees to be bound by them.
Persons or entities previously barred from the Service are not eligible to re-register.
3. Services
Service Description
Blue Replies provides a cloud-based iMessage API platform enabling businesses to send, receive, and manage iMessage communications programmatically. Our Service includes API access, webhook delivery, contact management, analytics dashboards, SDKs, and related tools.
Third-Party Platform Dependency
The Service relies on Apple's iMessage protocol and is subject to Apple's platform capabilities and limitations. We do not guarantee compatibility with all Apple devices or iMessage features at all times, and we are not responsible for changes Apple makes to its platform.
Modifications
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
Beta Features
We may offer features designated as "beta" or "preview." Such features are provided as-is, may be unstable, and may be discontinued without notice.
4. Fees, Payment, and Billing
Billing Cycles
Paid plans are billed on a monthly or annual basis depending on your selected plan. Billing begins on the date you subscribe and renews automatically unless cancelled prior to the renewal date.
Payment
You authorize us to charge your payment method on file for all fees incurred. All fees are in US Dollars and are exclusive of applicable taxes, which you are responsible for paying.
Refunds
Monthly plans may be cancelled at any time but refunds are not provided for partial billing periods. Annual plans may be refunded on a pro-rata basis within the first 14 days of purchase. We reserve the right to deny refund requests that appear to be abusive.
Price Changes
We may adjust our pricing from time to time. We will provide at least 30 days' written notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Late Payments
Accounts with past-due balances may be suspended. Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
5. User Content
Ownership
You retain full ownership of all Content you submit to or transmit through the Service. We claim no intellectual property rights over your Content.
License to Operate
By submitting Content, you grant us a limited, worldwide, royalty-free license to process, transmit, store, and display that Content solely to the extent necessary to operate and improve the Service.
Content Responsibility
You are solely responsible for all Content you transmit through the Service. You represent and warrant that you have all rights necessary to submit the Content and that doing so does not violate any third-party rights or applicable law.
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. By using the Service you agree to comply with the Acceptable Use Policy at all times.
No Spam or Unsolicited Messages
You must not use Blue Replies to send unsolicited bulk messages, spam, or any communication to recipients who have not provided consent. All messages must comply with applicable anti-spam laws including the CAN-SPAM Act and TCPA.
TCPA Compliance
You are solely responsible for ensuring your use of the Service complies with the Telephone Consumer Protection Act (TCPA) and all applicable telecommunications regulations, including obtaining prior express written consent before sending marketing messages.
No Illegal Content
You must not use the Service to transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable, or that promotes illegal activities or violates the rights of others.
7. Intellectual Property
Our Platform
The Blue Replies platform, including its software, design, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Blue Replies. These Terms do not grant you any ownership rights in the Service.
License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.
Restrictions
You must not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Blue Replies platform, API, or any related technology. You must not remove or alter any proprietary notices on the Service.
8. Third-Party Services
The Service integrates with or relies on third-party services and platforms, including Apple iMessage. Your use of such third-party services is governed by their respective terms and policies.
Blue Replies is not responsible for the availability, accuracy, or conduct of any third-party service. We do not endorse and are not liable for any third-party content, products, or services linked to or accessible through the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTY REGARDING THE RELIABILITY, ACCURACY, OR AVAILABILITY OF THE SERVICE OR ANY CONTENT TRANSMITTED THROUGH IT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUE REPLIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO BLUE REPLIES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY FOR CERTAIN TYPES OF DAMAGES. THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless Blue Replies and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your Content, or your violation of any third-party rights or applicable law.
12. Termination
Termination by You
You may terminate your account at any time by contacting [email protected] or through your account settings. Upon termination, your right to use the Service will immediately cease.
Termination by Blue Replies
We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law. We will provide notice when reasonably possible.
Data Export
Upon account termination, you will have 30 days to export your data through the API or by contacting support. After this 30-day period, your data will be permanently deleted in accordance with our Privacy Policy.
Survival
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive any termination of these Terms.
13. Dispute Resolution
Informal Resolution
Before initiating any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration
If informal resolution fails, all disputes arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware.
Class Action Waiver
YOU AND BLUE REPLIES EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
Exceptions
Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
14. Force Majeure
Blue Replies is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, pandemics, strikes, or failures of third-party service providers including Apple.
15. General Provisions
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, and Disclaimer, constitute the entire agreement between you and Blue Replies with respect to the Service and supersede all prior agreements.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any breach shall not constitute a waiver of any subsequent breach.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
Updates to Terms
We reserve the right to update these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
